SUMMER UPGRADE SWEEPSTAKES

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. VOID WHERE PROHIBITED.

TIMING. The ZipRealty "Summer Upgrade Sweepstakes" ("Sweepstakes") begins on Friday, May 23 2008 at 12:00:01 am Pacific Time ("PT") and ends on July, 7 2008 at 11:59:59 pm PT ("Sweepstakes Period"). Entries must be received during the Sweepstakes Period to be eligible.

SPONSOR. The Sweepstakes is sponsored by ZipRealty, Inc. ("ZipRealty" or "Sponsor"), 2000 Powell Street, Suite 300, Emeryville, CA 94608.

ELIGIBILITY. The Sweepstakes is open to individuals who are (1) current legal residents of the States of Arizona, California, Colorado, Delaware, Florida, Georgia, Illinois, Maryland, Massachusetts, Minnesota, Nevada, New Jersey, North Carolina, Pennsylvania, Utah, Texas, Virginia, Washington or the District of Columbia (2) age 18 years of age or older at the time of entry ("Entrant"). To win, Entrant must be registered as a ZipRealty client on the day of entry within the Sweepstakes Period. The Sweepstakes is void where prohibited or restricted by law. Individuals who hold a professional real estate broker's or salesperson's license and their spouses are not eligible to enter or win. Individuals, partners, affiliates, or other entities that are affiliated with ZipRealty are not eligible to enter. Employees of ZipRealty and their immediate families (including household members) are not eligible to enter or win. Sponsor reserves the right to verify eligibility at any time. All federal, state and local laws apply.

AGREEMENT TO OFFICIAL RULES. Participation in the Sweepstakes constitutes Entrants' full and unconditional agreement to and acceptance of these Official Rules and all decisions of Sponsor.

TO ENTER. Entrants are automatically entered into the Sweepstakes when Entrants (1) schedule a visit to see a property for sale on Sponsor's website located at www.ziprealty.com (2) complete the visit to the listed property in the company of a ZipRealty agent. Visits need to be scheduled by 11:59:59 pm PT on July 7, 2008 and completed by 11:59:59 pm PT on July 14th, 2008. Only visits scheduled through Sponsor's website will be entered in the Sweepstakes. Any false or deceptive entries or acts will render the Entrant ineligible. Any attempted form of entry other than as described in these Official Rules is void. Sponsor reserves the right in its sole discretion to disqualify any Entrant it finds to be tampering with the operation of the Sweepstakes or to be acting in violation with these Official Rules. Proof of submitting an entry will not be deemed to be proof of receipt by Sponsor. Every submission must be manually key stroked and manually entered by the individual participant and repetitive automated electronic submission of entries (including but not limited to entries submitted using any bot, script, macro, or sweepstakes service) are specifically disallowed. In the event of a dispute as to the identity of an online Entrant, entries made online will be deemed made by the authorized account holder of the email address submitted at the time of entry. Potential Winners may be required to show proof of being the authorized account holder for that email address. "Authorized account holder" is defined as the natural person assigned to an email address by an internet service provider, online service provider, or other organization responsible for assigning email addresses for the domain.

PRIZE DRAWING. One (1) Winner will be selected at random from all eligible entries received. Drawing will take place on or about August 1, 2008. Winning is contingent upon fulfilling all requirements of these Official Rules including eligibility requirements. Sponsor's decision as to the administration of the Sweepstakes and prize awarded is final. Sponsor will notify the potential winner by telephone or email in accordance with the information provided by the Entrant. In the event that Entrant's contact information changes during the Sweepstakes Period, it is Entrant's responsibility to notify Sponsor of such change. Potential winners must sign and return an Affidavit of Eligibility and a Publicity/Liability Release (except where prohibited by law) and a Form W-9 for tax reporting purposes via pre-paid overnight courier within Five (5) days of receipt of those documents or potential winner may be disqualified, and the prize may be forfeited. In the event that any prize notification is undeliverable, Sponsor is unable to contact a potential winner, or response to a prize notification is not received within Five (5) days of its issuance, the prize may be forfeited. Where a prize is forfeited, an alternate potential winner will be chosen at random from the remaining eligible entries. Drawings will continue until prize has been awarded.

ALTERNATE METHOD OF ENTRY: Those who wish to utilize the alternative method of entry may enter the Sweepstakes by printing their name, mailing address, age, area code and telephone number on a 3"x5" piece of paper and sending it in an envelope to: ZipRealty Visit a Property and Win Sweepstakes, 2000 Powell Street, Suite 300, Emeryville, CA 94608. Mail-in entries must be received by July 28, 2008. Sponsor is not responsible for lost, late, incomplete, illegible, mutilated, invalid, unintelligible, misdirected or postage-due entries, which will be disqualified. No facsimiles, mechanical reproductions, alterations or forged entries will be accepted. All mail-in entries must be in separate outer envelopes. All entries become the sole property of the Sponsor and receipt of those entries will not be acknowledged or returned.

PRIZES. One (1) First Prize winner will receive a check with a total value of Five Thousand Dollars ($5,000) ("Prize Check"). Sponsor send the First Prize winner the Prize Check by the United States Postal Service or reputable national courier service, with tracking capabilities, at the Sponsor's discretion, to the address provided by winner in the Affidavit of Eligibility. Winner must personally sign for receipt of the Prize Check. All taxes on the Prize Check are the sole responsibility of the winner. Upon receipt of prize, winner is solely responsible for Prize Check. Sponsor will not replace any portion of a lost or stolen Prize Check once it has been cashed, deposited or used in any way.

ODDS OF WINNING. Odds of winning a prize depend on the total number of eligible entries received.

GENERAL TERMS AND CONDITIONS. Sponsor reserves the right to cancel, modify or suspend the Sweepstakes should fraud, technical failures, or any other factor beyond the reasonable control of Sponsor impair the integrity of the Sweepstakes, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the Prize from the eligible submissions received up to the time of impairment. Except where prohibited by law, participation in the Sweepstakes constitutes winner's consent to Sponsor's use of their names, city and state of residence, likeness, photograph, image and winning entry, in whole or in part, for advertising, publicity, and promotional purposes in any media, online or offline, without further permission, consent, payment or other consideration. ENTRANTS AGREE TO TAKE FULL RESPONSIBILITY FOR, AND FULLY INDEMNIFY SPONSOR IN ANY CLAIM, CAUSE OF ACTION, LOSS OR EXPENSE INCURRED BY SPONSOR FOR ANY INFRINGEMENT OR OTHER CLAIM ARISING OUT OF ENTRANT'S VIOLATION OF ANY PROVISION OF THESE OFFICIAL RULES. BY RECEIPT OF ANY SWEEPSTAKES PRIZE, WINNER(S) ACCEPTS THE PRIZE WITH NO FURTHER OBLIGATION FROM SPONSOR OR ITS AFFILIATES, AND AGREES TO RELEASE AND HOLD HARMLESS SPONSOR, ITS RELATED COMPANIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS FROM AND AGAINST ANY AND ALL CLAIMS OR CAUSES OF ACTION RELATING TO OR ARISING OUT OF PARTICIPATION IN THE SWEEPSTAKES OR ACCEPTANCE, RECEIPT OR POSSESSION, USE OR MISUSE OF ANY PRIZE OR ELEMENT THEREOF.

WINNER AND OFFICIAL RULES. A copy of these Official Rules and the Sweepstakes results may be obtained by sending a self-addressed stamped envelope to ZipRealty Visit a Property and Win Sweepstakes - Results, 2000 Powell Street, Suite 300, Emeryville, CA 94608. Sweepstakes results will be available after August 1, 2008. Requests must indicate the specific Sweepstakes requested, and must be received no later than July 28, 2008.

* Rebate is available only to buyers who close escrow/proceed to final settlement with ZipRealty acting as their sole and exclusive agent in the purchase of real estate. For homes with a final sales price of $100,000.00 or more, the rebate is twenty percent (20%) of the cooperating broker commission actually received by ZipRealty at the close of escrow/settlement for representing the buyer net of any allowances or other deductions by ZipRealty related to the transaction. Occasionally, the seller and/or listing broker in a transaction will offer the broker representing the buyer a bonus or other additional incentive over and above the cooperating brokerage commission. Any such bonuses or other additional incentives are separate and apart from the cooperating brokerage commission actually received by ZipRealty and buyer is not entitled to a rebate on any bonus or other additional incentive monies paid to ZipRealty over and above the cooperative broker commission. For homes with a final sales price of $99,999.99 or less, the rebate is Two Hundred Fifty Dollars ($250.00). If within a 6 month period, a customer both buys and sells real property through ZipRealty, the customer is eligible to receive either an additional rebate of up to five percent (5%) of ZipRealty's commission for representing the buyer in the case of a purchase, or an additional one quarter of one percent (0.25%) reduction off of our listing commission in case of a sale. The additional rebate or commission reduction will be applied to the second of the two transactions to close escrow or proceed to final settlement. See your agent for details. The amount of the cooperating broker commission received will vary on individual properties. The rebate will be paid or credited to the party or parties named as the "buyer(s)" or "borrower(s)" on the HUD-1 Closing Statement or equivalent official closing statement. In the case of an IRC §1031 Tax Deferred Exchange ("Exchange"), the party named as the "buyer or borrower" is the Qualified Intermediary (the "Exchange Company") and the rebate will be paid or credited to the Exchange Company for the benefit of the party conducting the exchange (the "Exchanger"). All buyers, or in the case of any Exchange, the Exchanger must sign a Rebate Agreement before any rebate will be issued. This rebate program is only available where permitted under state and federal law and when not otherwise prohibited by the buyer's lender(s). The rebate program is not available in New Jersey.
